As of 15 October 2026, O2O Capital Partners is pre-launch: no vault or vault token is live.

O2O Research

Niche private credit is lending in specialized segments such as trade receivables, music royalties and aircraft leases, often short in duration and repaid from the financed asset's own cash flows. Onchain, it reaches stablecoin holders through a fund or vault: an originator makes and services the loans, the fund buys them, an independent administrator values the fund, and vault tokens are priced at that value.

## What counts as niche private credit?

Private credit is lending by funds and other non-bank lenders directly to borrowers, arranged privately and usually held until it is repaid. Much of it lends to mid-sized companies against the whole business. Niche private credit is the part that lends against one stream of cash: the invoices a company's customers owe, the royalties a music catalog earns, the rent an airline pays to lease an aircraft.

Three traits set these segments apart:

- The loan is tied to an asset that produces cash of its own, so repayment comes from that asset's income more than from the borrower's general finances.
- The loans are often short, and many repay themselves as the underlying cash arrives. Lenders call this self-liquidating.
- Each segment needs specialist knowledge to price and to service: how the buyers in an industry pay their invoices, how a catalog's income changes as its songs age, what a used aircraft is worth and who else would lease it.

That knowledge sits with the originator, the bank or specialist lender that finds the borrowers, underwrites the loans and collects the payments. Each segment is small next to the wider credit markets and hard to reach without an originator, so investors usually reach it through a fund that buys loans from one or more originators under set rules.

## Why does short duration suit vaults?

A vault promises its depositors a way back to their stablecoins. Whether it can keep that promise depends on how quickly its assets turn back into cash. Short-duration loans repay often: an invoice is paid, a monthly lease rent arrives, a royalty statement is settled. Each repayment adds cash the fund can use in one of two ways: to meet redemptions or to make new loans.

**Figure: Short loans turn over inside a redemption window.** Frequent repayment refills a fund's cash before a redemption window, while a long loan returns nothing until its end. Illustrative timeline with no data.

Alt text: Timeline with two short loans repaid and lent again, a long loan with no repayment, a cash lane with a dot at each repayment and a shaded redemption window, plus three benefits of frequent repayment.

Frequent repayment helps a vault in three ways:

- Redemptions can be met from cash coming in, so the fund does not need to sell loans, which in a private market can be slow and can mean selling below value.
- Risk is repriced often. When a loan repays, the fund decides again whether to lend to that borrower and at what rate, so the book follows current conditions.
- Problems show early. A missed payment on a short loan shows up within weeks, while a long loan can carry a weak borrower for years before a payment is due.

The match is never exact. Loans that repay over weeks still leave a fund short of cash if many depositors ask to leave at once. That is why private credit vaults usually set redemption windows or notice periods, and why their tokens are priced from the fund's own valuation of its loans.

## How does niche private credit reach the chain?

The loans stay offchain. What moves onchain is a claim on a fund that holds them. The usual path has six links:

1. An originator makes the loans, sets terms with each borrower and services them: it collects payments, chases late ones and reports on the book.
2. A fund buys the loans, or a share of them, from the originator under eligibility rules that say which loans it may hold. Depositors' money pays for the loans.
3. An independent fund administrator, a third party separate from the fund's manager, keeps the fund's books and records what each loan is worth.
4. The administrator calculates the fund's net asset value, or NAV: its assets minus its liabilities, stated per share, on a set schedule.
5. An oracle posts that NAV onchain, so that smart contracts can read it.
6. The vault token is priced at that NAV. Depositors subscribe with stablecoins and redeem at the NAV per token, and only wallets the fund has approved can hold the token.

Alt text: Six numbered links from an originator to a vault token, with a vertical divider between the offchain links and the onchain oracle and vault token, and depositors subscribing and redeeming at the token.

Each link answers a different question for a depositor. The originator decides which loans exist. The fund decides which of those loans the depositors own. The administrator decides what the loans are worth, separately from the people who chose them. The oracle decides what the chain sees, and how old that view can get. The token decides who may hold the exposure and on what terms.

The Key facts box at the top of this page shows how much tokenized private credit RWA.xyz tracks, the wider tokenized asset market it sits in and the stablecoin supply that could fund it, each with its date and source ([latest figure and source](https://o2ocapital.com/research/data/onchain-vault-market#tokenized-private-credit)). Trackers measure these markets in different ways, so the same market can appear at different sizes in different reports.

## What are the main asset classes?

### Trade receivables

**Figure: Main asset classes in niche private credit.** Each segment lends against one stream of cash, and each has its own question for the lender.

Alt text: Four cards for trade receivables, music royalties, aircraft leases and other segments, each showing what the lender lends against, what repays the loan and the main question, with a strip of dots for how cash comes back.

A company that sells goods on credit waits weeks or months for its customers to pay the invoices. Trade receivables financing advances cash against those invoices and is repaid when the customers pay. Much of the credit risk sits with the buyers who owe the invoices, so the lender studies who those buyers are and how they have paid in the past. [How trade receivables financing works](https://o2ocapital.com/learn/trade-receivables-financing) covers its main forms, its risks and how a receivables portfolio sits in a vault.

### Music royalties

A music catalog earns income each time its songs are streamed, played in public or licensed for film, television and advertising. Music royalty financing lends against that future income, or buys it outright, and is repaid from it. The lender's main questions are how steady the catalog's income is, how it changes as the songs age and who holds the legal right to collect it.

### Aircraft leases

Many airlines lease the aircraft they fly from companies that own them. Aircraft lease financing funds those aircraft, is repaid from the lease rents and is secured by the aircraft themselves. The lender weighs the airline's ability to pay the rent and what the aircraft would earn if it had to be taken back and leased to another airline.

### Other segments

The same pattern appears in other specialized lending, such as equipment finance, loans to small businesses and fund finance, which lends to investment funds against the commitments of their investors. In each case the questions are the same: what cash repays the loan, how soon, and what the lender can recover if it does not arrive.

## What are the main risks?

Each segment has its own risks, and they share a common list:

**Figure: Where each risk sits on the path.** Each link in the path carries its own risks. Higher returns usually pay for one or more of them.

Alt text: Five links from originator and borrowers to vault token, each with the risks that sit there, marked by circle, diamond or square for loans, price, or claim and exit.

- Credit risk: a borrower, or the buyers behind an invoice, does not pay. The loss depends on the originator's underwriting and on what the lender can recover.
- Concentration risk: a portfolio that leans on one borrower, one buyer, one catalog or one airline loses more when that one fails.
- Valuation risk: private loans have no market price. The NAV depends on the administrator's method and on information from the originator, and it can be slow to show a loss.
- Liquidity mismatch: the vault token may offer faster exits than the loans allow. When repayments fall short of redemption requests, depositors wait.
- Servicer risk: the originator collects the payments. If it fails, or misreports, collections can stop while a replacement takes over.
- Legal risk: the fund's claim on the loans, and the depositor's claim on the fund, rest on documents and on the courts that enforce them.
- Oracle risk: the onchain price is only as current and as accurate as the feed that posts the NAV.

Higher returns in a segment usually pay for one or more of these risks. A depositor comparing two funds asks which risks each one carries, and who bears the first loss when a loan goes bad.

## Which structure terms matter?

A handful of terms recur in any description of how a niche private credit fund reaches the chain:

- NAV-priced vault token: a token priced at the fund's NAV per share, so holders subscribe and redeem at that value. [NAV-priced vault tokens](https://o2ocapital.com/learn/nav-priced-vault-tokens) explains how the price is set, posted and used.
- Asynchronous vault: a vault in which a deposit or a redemption is a request that settles later, once the fund has the cash or the NAV. [ERC-7540 explained](https://o2ocapital.com/learn/erc-7540-explained) compares the standard for these vaults with the standard for vaults that settle at once.
- Segregated portfolio: a portfolio inside one company whose assets and liabilities are kept apart from those of the company's other portfolios, so that one pool of loans does not answer for another pool's losses.
- KYC allowlist: a list of identity-verified wallets that the token's contract checks before it allows a deposit, a transfer or a redemption.
- Fund administrator: the third party that keeps the books and calculates the NAV, described in the path above.
